Obligations of BSALE CHILE S.A.
In providing the service under this agreement, BSALE CHILE S.A. agrees to:
- Activate and deploy THE SYSTEM on the infrastructure of BSALE CHILE S.A.
- Perform the necessary activities to ensure the operational continuity of THE SYSTEM, with a service level of 97%. Bsale uses Amazon services for its infrastructure.
- Notwithstanding the above, the service may be temporarily interrupted by BSALE CHILE S.A. when necessary for technical or maintenance reasons.
- Such interruptions shall not be considered when calculating the service level percentage indicated above.
- Whenever possible, maintenance work will be carried out outside business hours and notified at least two (2) days in advance, unless the nature of the situation requires immediate execution.
- Maintenance caused by force majeure or unforeseen circumstances shall be exempt from prior notice.
- Provide daily backups of the information entered into THE SYSTEM, which may be downloaded by the client from the application in spreadsheet format.
- All electronic tax documents (DTE) will include a footer indicating issuance by Bsale, as well as Bsale branding in e-commerce templates. DTE visualization is also available in the Bsale portal, displaying its logo with a hyperlink to the Bsale website.
- Provide assistance to resolve questions and inquiries related to the operation of THE SYSTEM.
- Support hours are Monday to Friday from 9:00 a.m. to 7:00 p.m. (Chile time).
- Continuously update THE SYSTEM to new versions. BSALE CHILE S.A. may add, update, or deactivate any service or functionality.
- Store client-related information for a period of five (5) years from the service contract date, as long as the service remains active.
- Bsale does not provide on-site visits.
- The management and downloading of folios is the sole responsibility of the client.
Pricing and Payment Terms
The contracted service has a monthly price stipulated in the initial contract, according to the quotation sent by a sales executive detailing the applicable charges.
Bsale offers a free trial that allows users to test the system for up to thirty (30) days. This trial is for demonstration purposes only and does not include the issuance of electronic tax documents. Its purpose is to allow clients to evaluate Bsale before contracting the service.
The service must be paid in advance within the first fifteen (15) days from the invoice issuance date.
If the client delays payment for more than sixteen (16) calendar days from the invoice issuance date, BSALE CHILE S.A. may suspend the service until the outstanding balance is paid.
The service reactivation fee is 0.3 UF + VAT. The initial invoice must be paid on the date of issuance.
Contract Term
This agreement shall take effect on the date stipulated in the initial contract and shall have a duration of one (1) month, with automatic renewal.
Either party may choose not to renew the agreement by providing written notice at least thirty (30) business days in advance.
To terminate the service, all outstanding invoices must be fully paid.
Warranty Limitations and Liability
BSALE CHILE S.A. shall not be liable for any damages of any kind, whether direct or indirect, foreseen or unforeseen, arising from the creation, transmission, dissemination, reception, access, or availability of content accessed by the client through the service.
This includes, but is not limited to:
- Loss, damage, or deterioration of information due to hacking, cyberattacks, internet interruptions, or network failures.
- System outages caused by force majeure, acts of God, terrorism, fire, or any cause not attributable to BSALE CHILE S.A.
- Internet connectivity issues.
- Misuse or misunderstanding of the system by the client.
- Errors in data entered by the client.
- Computer failures or viruses on the client’s devices.
- Violations by the client, its employees, or advisors of privacy or personal data protection regulations. The client declares sole responsibility for such violations and agrees to hold BSALE CHILE S.A. harmless.
- Data provided by third parties, external links, or third-party websites, even if accessed through THE SYSTEM.
The parties agree to limit the total liability of BSALE CHILE S.A. to a maximum amount equivalent to one (1) Unidad de Fomento (UF).
The client has a maximum of ninety (90) days to begin using the system. After this period, the implementation service must be paid again.
Intellectual Property
BSALE CHILE S.A. shall own all source code, executable programs, designs, and developments created by its consultants or subcontractors in relation to THE SYSTEM, for services paid by the client.
The client expressly waives any claim or right over such intellectual property.
Confidentiality and Privacy Policies
All information registered through THE SYSTEM shall be stored and treated with strict confidentiality.
Bsale CHILE S.A. will not use personal data for any purpose other than providing the service.
BSALE CHILE S.A. will not share, publish, sell, or trade client-created content unless explicit written authorization is provided by the content owner or disclosure is required by law or court order.
In such cases, BSALE CHILE S.A. will notify the client in writing, where legally permitted.
Bsale provides SSL certification. All information entered into the system is the sole responsibility of the client.
The client authorizes the delivery of the digital certificate to the email address provided at the time of contracting.
Password and Account Security
The client is responsible for maintaining the confidentiality and strength of account passwords.
BSALE CHILE S.A. shall not be responsible for unauthorized access resulting from poor password practices or predictable credentials.
Dispute Resolution
Any dispute arising from or related to this agreement shall be resolved by an arbitrator acting as sole arbitrator, with final and binding authority and without appeal, except for a complaint action.
The arbitrator shall be appointed by mutual agreement of the parties.
In the absence of agreement, the arbitrator shall be appointed by the Santiago Chamber of Commerce Arbitration Center.
Requesting such appointment implies lack of agreement between the parties.
Jurisdiction
For all legal purposes arising from this agreement, the parties establish their domicile in the city of Santiago, Chile.
Important Considerations

The initial fee corresponds to system implementation and includes certification, training, and standard configuration (logo, tax ID, printable formats).
- Product and inventory loading are not included.

Refund Policy:
- Refund requests may be made within seventy-two (72) hours from purchase.
- Refunds apply only to services not yet rendered.
- Fees already incurred (e.g., digital certificates) will be deducted.
- For payments processed via Webpay, Transbank fees will be deducted regardless of the refund reason.

The client has a maximum of thirty (30) days to complete implementation. After this period, monthly billing will begin.

The system is billed monthly in advance and charged even if not used.

To cancel the service, the client must notify via email to posorio@bsale.app.
- Bsale is a configurable web platform, not custom software.
- Bsale does not provide on-site services.

The system can be used from day one, even before tax authority approval, using manual documents if necessary.

Once tax authority approval is granted, electronic document issuance will be automatically enabled.

Clients using external government portals must back up historical data, as access may be restricted after approval.
